Terms of Service
These terms govern access to and use of the Vaxelia platform, websites, and related services. By using the service, you agree to them.
1. Agreement to terms
These Terms of Service (the “Terms”) form a binding agreement between you and Vaxelia governing your access to and use of the Vaxelia platform, websites, applications, SDKs, and related services (together, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. The service
Vaxelia provides an operating platform that maintains an organization’s institutional knowledge and acts on it under human authority, including the Worldview knowledge layer, the Plan execution engine, Workflows, Applets, and a compliance application. Features available to you depend on your subscription tier and configuration.
The Service is provided on a multi-tenant basis with strict organizational isolation. We may update, improve, or modify the Service over time; material reductions in core functionality will be communicated in advance where practicable.
3. Accounts & eligibility
To use the Service you must create an account and provide accurate information. You are responsible for safeguarding credentials and for all activity under your account and tenant. You must promptly notify us of any unauthorized use.
- You must be authorized to act for the organization you register.
- Access controls, roles, and permissions are yours to administer within your tenant.
- You are responsible for your users’ compliance with these Terms.
4. Acceptable use
You agree not to misuse the Service. You may not, and may not permit any user to:
- Access another tenant’s data, or attempt to circumvent isolation or access controls.
- Use the Service to violate applicable law or the rights of others.
- Reverse engineer, resell, or provide unauthorized access to the Service except as permitted for partners under a separate agreement.
- Introduce malware, interfere with the integrity of the Service, or impose unreasonable load.
5. Subscriptions & billing
The Service is offered under tiered subscriptions. Each tier carries its own limits (users, workspaces, included AI tokens, workflows, and storage), and certain capabilities, including the depth of the compliance application, vary by tier. Usage beyond an included allowance is metered and billed as overage.
Fees are billed in advance for the subscription term and are non-refundable except where required by law. Upgrades take effect immediately; downgrades take effect at the next billing cycle. We will give notice of changes to fees before they apply to a renewal.
6. Customer data & the Worldview
Your data is yours. As between the parties, you retain all rights to the data, knowledge base, and operational history within your tenant (“Customer Data”), including the Worldview built from your operation.
We will not pool Customer Data across customers, and we will not use it to train models for the benefit of others. We process Customer Data only to provide and secure the Service, in accordance with these Terms and our Privacy Policy. Isolation is enforced at the infrastructure layer.
7. Intellectual property
The Service, including the platform, Weaver, the SDKs, and all related software and documentation, is owned by Vaxelia and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service during your subscription. Blueprints, applets, and workflows you author remain yours, subject to the platform rights needed to operate them.
8. Confidentiality
Each party may access confidential information of the other. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and contractors bound by confidentiality obligations. This does not apply to information that is public, independently developed, or rightfully obtained without restriction.
9. Warranties & disclaimers
We will provide the Service with reasonable skill and care and in line with the security commitments described in our documentation. Except as expressly stated, the Service is provided “as is,” and to the maximum extent permitted by law we disclaim all other warranties, including implied warranties of merchantability and fitness for a particular purpose.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages, or for lost profits or revenues. Each party’s aggregate liability arising out of these Terms will not exceed the fees paid or payable by you for the Service in the twelve months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.
11. Term & termination
These Terms apply for the duration of your subscription. Either party may terminate for material breach not cured within a reasonable period after notice. On termination, your right to use the Service ends, and we will make Customer Data available for export for a limited period before deletion, in accordance with our data-retention practices.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which Vaxelia is established, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over disputes, except where mandatory law provides otherwise.
13. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
